These Terms of Service (hereinafter "Terms" or "Agreement") constitute a legally binding agreement between U Transportation LLC, a limited liability company duly organized and existing under the laws of the State of New Hampshire, with its principal place of business located at 15 Constitution Drive, Bedford, New Hampshire 03110 (hereinafter referred to as "U Transportation," "Company," "we," "us," or "our"), and the individual or entity engaging our services (hereinafter referred to as "Client," "you," or "your").

By requesting, scheduling, booking, paying for, or otherwise utilizing any transportation services provided by U Transportation LLC, you hereby acknowledge that you have read, understood, and expressly agree to be legally bound by all terms, conditions, and provisions set forth in this Agreement.

IMPORTANT NOTICE: IF YOU DO NOT AGREE TO ALL TERMS AND CONDITIONS CONTAINED HEREIN, YOU ARE NOT AUTHORIZED TO ACCESS OR USE OUR SERVICES. YOUR CONTINUED USE OF OUR SERVICES CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS.

1. Nature of Services

1.1 Scope of Transportation Services

U Transportation LLC provides professional non-emergency medical transportation (NEMT) services exclusively. Our service offerings include, but are not limited to, the following categories:

  • Ambulatory transportation services for independently mobile individuals
  • Wheelchair-accessible transportation (standard and bariatric capacity)
  • Stretcher transportation services with appropriate medical equipment
  • Stair-chair transportation for multi-level access requirements
  • Specialized mobility equipment transportation (Schon/Realm Tavi devices)

1.2 Intended Use and Service Purpose

The transportation services provided by U Transportation LLC are specifically designed and intended solely for individuals who require professional, safe, and reliable mobility assistance for non-emergency medical appointments, healthcare facility transfers, and related transportation needs.

1.3 Limitation on Emergency Services

U Transportation LLC does not provide, and is not licensed to provide, emergency medical services, emergency ambulance services, advanced life support, or any form of emergency medical care. In the event of a medical emergency, clients must immediately contact emergency services by dialing 911 or their local emergency number.

2. Client Eligibility and Service Requirements

2.1 Medical Appropriateness and Fitness for Transport

All clients utilizing U Transportation LLC services must be medically stable and appropriate for non-emergency transportation. Clients requiring continuous medical monitoring, advanced life support, or emergency medical intervention are not eligible for our services and must seek appropriate emergency medical transportation.

2.2 Company's Right to Refuse or Discontinue Service

U Transportation LLC reserves the absolute and unconditional right, exercisable at its sole discretion, to decline, refuse, modify, suspend, or permanently discontinue service to any client when, in the Company's reasonable judgment, concerns exist regarding safety, legal compliance, medical appropriateness, operational feasibility, behavioral conduct, or any other matter that may compromise the safety, security, or well-being of our personnel, other clients, or the general public.

2.3 Mandatory Disclosure of Accessibility Requirements

Clients are required to provide complete, accurate, and timely disclosure of all accessibility requirements, mobility limitations, medical equipment needs, and special accommodations during the booking process. Failure to disclose such information may result in service delays, cancellation, or additional charges.

3. Scheduling Procedures and Client Responsibilities

3.1 Obligation to Provide Accurate Information

Clients bear the sole responsibility for providing complete, accurate, and current information regarding pickup locations, destination addresses, mobility requirements, medical equipment needs, contact information, and any other relevant details necessary for the safe and efficient provision of transportation services. Provision of false, incomplete, or misleading information may result in service denial, cancellation fees, or termination of service.

3.2 Punctuality and Readiness Requirements

Clients are required to be fully prepared and ready for transport at the scheduled pickup time. "Ready for transport" means that the client is appropriately dressed, has gathered all necessary personal belongings and medical equipment, and is positioned at the designated pickup location. Failure to be ready may result in service cancellation and applicable cancellation fees.

3.3 Return Trip Notification Protocol

For scheduled round-trip transportation services, clients are required to provide advance notification to U Transportation LLC approximately thirty (30) minutes prior to being ready for return pickup. This notification enables proper scheduling and ensures timely service delivery.

3.4 Mandatory Communication of Changes

Clients must promptly communicate any changes, modifications, delays, cancellations, or special requirements to U Transportation LLC as soon as such circumstances become known. Timely communication enables the Company to adjust scheduling, allocate resources appropriately, and maintain service quality for all clients.

4. Payment Terms and Billing Procedures

4.1 Accepted Forms of Payment

U Transportation LLC accepts the following forms of payment for services rendered:

  • Credit and debit card payments (Visa, MasterCard, American Express, Discover)
  • Personal or business checks (subject to verification and approval)
  • Cash payments (for private-pay clients only)
  • Institutional billing arrangements (healthcare facilities and authorized organizations)
  • Electronic funds transfer or direct deposit (by prior arrangement)

4.2 Payment Terms and Due Dates

Unless otherwise expressly agreed to in a separate written agreement executed by authorized representatives of both parties, all invoices issued by U Transportation LLC are due and payable in full within twenty-one (21) calendar days from the date of invoice issuance. Payment is considered timely only when received and processed by the Company within this specified period.

4.3 Consequences of Unpaid Balances

Failure to remit payment within the specified timeframe may result in the assessment of late payment fees, referral of the account to a third-party collection agency, reporting to credit bureaus, initiation of legal proceedings to recover amounts owed, and/or immediate suspension or termination of transportation services. The Company reserves the right to pursue all available legal remedies to collect outstanding balances.

4.4 Rate Modifications and Pricing Changes

U Transportation LLC reserves the right to modify, adjust, or change service rates, fees, and pricing structures at any time without prior notice, except where such rates are governed by a separately executed written contract or agreement. Current rates are available upon request and will be provided at the time of booking.

5. Cancellation Policy, No-Show Provisions, and Return Trip Procedures

5.1 Advance Cancellation Requirements

To avoid assessment of cancellation fees, clients must provide notice of cancellation or request for rescheduling no later than 5:00 PM (Eastern Time) on the business day immediately preceding the scheduled date of service. Cancellations received after this deadline are subject to the fees outlined in Section 5.2.

5.2 Same-Day and Late Cancellation Fees

Cancellations received on the same day as scheduled service, cancellations made after driver arrival at the pickup location ("at-the-door" cancellations), or cancellations made after dispatch of the assigned vehicle may result in the assessment of a cancellation fee of Fifty Dollars ($50.00). This fee compensates the Company for operational costs, driver time, vehicle allocation, and lost scheduling opportunities.

5.3 No-Show and Return Trip Cancellation Policy

A "no-show" occurs when a client is not present, not ready, or refuses service at the scheduled pickup location and time, without having provided advance notice of cancellation. No-show incidents may result in billing at the full contracted trip rate, as the Company has allocated resources, personnel, and equipment for the scheduled service.

In the event that a round-trip transportation service has been scheduled and the return portion of the trip is cancelled after the assigned driver has been dispatched, has arrived at the return pickup location, or has been placed on standby for the return trip, the Client shall be assessed a fee equal to eighty percent (80%) of the return-trip fare. U Transportation LLC will credit or refund twenty percent (20%) of the return-trip fare, representing the unused portion of the transportation service. This policy reflects the Company's commitment to fair billing practices while accounting for driver compensation, vehicle allocation, scheduling commitments, and operational resources that have been reserved and deployed for the Client's benefit.

5.4 Discretionary Exceptions

U Transportation LLC may, at its sole and absolute discretion, waive or reduce cancellation fees in extraordinary circumstances, including but not limited to unexpected hospital admissions, medical emergencies, or other unforeseen events beyond the client's reasonable control. Requests for fee waivers must be submitted in writing and will be evaluated on a case-by-case basis.

6. Safety Standards, Professional Conduct, and Emergency Procedures

6.1 Driver Qualifications and Professional Standards

All U Transportation LLC drivers undergo comprehensive background checks, maintain current and valid driver's licenses, complete specialized training in non-emergency medical transportation, and operate in strict accordance with all applicable federal, state, and local safety regulations and industry best practices. Our drivers are committed to providing professional, courteous, and safe transportation services.

6.2 Vehicle Maintenance and Equipment Standards

All vehicles and medical transportation equipment utilized by U Transportation LLC are subject to regular inspections, preventive maintenance schedules, and safety compliance checks in accordance with manufacturer specifications and applicable regulatory requirements. The Company maintains comprehensive maintenance records and ensures that all vehicles meet or exceed safety and operational standards.

6.3 Safety-Based Service Refusal or Discontinuation

U Transportation LLC reserves the unconditional right to refuse initiation of transport or to discontinue transport in progress when, in the professional judgment of our personnel, unsafe conditions exist that may compromise the safety or well-being of the client, driver, other passengers, or the general public. Such conditions may include, but are not limited to, severe weather, hazardous road conditions, client medical instability, threatening behavior, or environmental hazards.

6.4 Medical Emergency Response Protocol

In the event of a medical emergency occurring during transportation services, U Transportation LLC personnel will implement the following emergency response protocol:

  • Immediately contact emergency medical services (911) and provide precise location and medical information
  • Notify Company dispatch center of the emergency situation and request additional support as needed
  • Provide reasonable assistance to the client within the scope of driver training, certification, and legal authority
  • Remain on scene until emergency medical personnel arrive and assume care of the client
  • Document the incident and cooperate fully with emergency responders and investigating authorities

7. Privacy Protection and Data Security

7.1 Information Collection and Use

U Transportation LLC collects and maintains only such personal, medical, and financial information as is reasonably necessary to provide transportation services, process billing and payment transactions, verify client identity, maintain operational records, ensure service quality, and comply with applicable legal, regulatory, and contractual obligations. The Company is committed to protecting client privacy and handling all information in accordance with applicable privacy laws and regulations.

7.2 Information Sharing and Disclosure

U Transportation LLC does not sell, rent, lease, or otherwise commercially exploit client personal information. Client information may be shared or disclosed only under the following limited circumstances:

  • To facilitate and coordinate scheduled transportation services with healthcare facilities, caregivers, or authorized representatives
  • When the client has provided express written authorization for such disclosure
  • When required by applicable federal, state, or local laws, regulations, or court orders
  • To protect the rights, property, safety, or security of U Transportation LLC, our personnel, clients, or the public
  • In connection with business transactions such as mergers, acquisitions, or asset sales (subject to confidentiality obligations)

7.3 Data Security Measures

U Transportation LLC implements and maintains reasonable administrative, technical, and physical safeguards designed to protect client information from unauthorized access, use, disclosure, alteration, or destruction. While the Company employs industry-standard security measures, no data transmission or storage system can be guaranteed to be completely secure.

7.4 Client Privacy Rights

Clients have the right to request access to their personal information maintained by U Transportation LLC, to request correction of inaccurate information, and to request deletion of information where legally permitted and operationally feasible. Such requests should be submitted in writing to the Company's designated privacy contact.

8. Service Refusal, Suspension & Termination

Services may be denied, suspended, or discontinued for:

  • Non-payment
  • Fraud, misrepresentation, or policy violations
  • Abusive, threatening, or unsafe behavior
  • Unsafe or inaccessible pickup environments
  • Legal or regulatory restrictions

Clients may stop services at any time, subject to outstanding fees or balances.

9. Limitation of Liability

To the fullest extent permitted by law:

  • U Transportation is not liable for indirect, incidental, punitive, exemplary, or consequential damages.
  • Total liability for any claim shall not exceed the amount paid for the specific transportation service giving rise to the claim.
  • U Transportation is not responsible for delays outside its control, including traffic and weather.

10. Indemnification

Clients agree to indemnify and hold harmless U Transportation from claims, damages, or expenses arising from:

  • Failure to provide accurate information
  • Client negligence, misconduct, or policy violations
  • Misuse of services

The Company remains responsible for harm caused by its own negligence.

11. Force Majeure

U Transportation is not responsible for delays, interruptions, or inability to perform due to circumstances beyond reasonable control, including:

  • Severe weather
  • Traffic closures or accidents
  • Public health emergencies
  • Natural disasters
  • Technology or power outages

12. Dispute Resolution

12.1 Internal Resolution

Clients must first notify U Transportation to attempt internal resolution.

12.2 Mediation/Arbitration

If unresolved, mediation or arbitration may be pursued before litigation, unless prohibited by law.

12.3 Governing Law

Venue and governing law shall be in the State of New Hampshire.

13. Changes to Terms

U Transportation may revise these Terms at any time. Updated Terms will be posted on the Company website with a new "Last Updated" date. Continued use of services constitutes acceptance of revised Terms.

14. Entire Agreement

These Terms represent the full agreement between the Client and U Transportation and replace all prior written or verbal understandings unless a separate executed contract exists.
